    Haynes and Boone, LLP, is expanding its sophisticated finance capabilities with the addition of a group of three lawyers led by a senior partner, Steven H. Epstein, a practitioner with extensive experience representing commercial banks in complex financings, including energy-related commodities finance.

    Epstein will be a resident in the firm’s New York office and brings with him Dallas-based partner Javier Martinez. Deborah Low joins the firm’s New York office as an associate.

    According to the firm’s press release, the practice’s industry focus is in oil and gas and other energy-related commodities, non-precious metals, and other hard and soft commodities including agribusiness, as well as the secondary mortgage market. The practice also has a concentration in Latin American financings.

    Epstein has represented BNP Paribas and JPMorgan Chase Bank and their respective affiliates, and other financial institutions and a variety of issuers and borrowers in structuring, documenting, and negotiating syndicated unsecured, secured, asset-based and asset-backed lending transactions, and in connection with domestic and international asset securitizations, structured loans, private placements, and other complex structured financings. He also represents The Bank of New York Mellon as one of the largest residential mortgage loan custodians in the industry, in connection with tri-party mortgage repo custody and other related transactions using structures he helped innovate in the 1990’s as a vice president and senior associate counsel at Chase (now JPMorgan Chase).

    Martinez represents borrowers and lenders in secured transactions at all stages of the deal, from negotiating term sheets to loan origination and syndication to various forms of workouts, including preparing for structured bankruptcies. He routinely represents clients in traditional asset-based loans and commodity financings of all types, as well as structuring and negotiating other loans with unique collateral issues like media loans and subscription lines for funds. He also has extensive experience in cross-border transactions with an emphasis on Latin America, having represented clients in both multi-jurisdictional loan and merger transactions.

    Low’s primary focus is in representing foreign and domestic institutional lenders in various forms of secured and unsecured finance transactions, including commodities finance, syndicated lending, corporate finance, structured finance, acquisition finance, and cross-border export financing loan agreements. She has also represented foreign and domestic borrowers in syndicated finance transactions, import financing facilities, and capital lease facilities.
