State Tax Day - Current, S.13, Nebraska—Corporate Income, Sales and Use Taxes: Advantage Act Tier 6 Base-Year Employee Calculations Amended, (Apr 23, 2026)
If a taxpayer has met the required levels of employment and investment for a tier 6 project under the Nebraska Advantage Act and sells or transfers a portion of the business to an entity that is not part of the same unitary group as the taxpayer, the Department will recalculate the taxpayer's base-year employees. The Department will subtract the number of equivalent employees at the business operations that were sold or transferred from the number of base-year employees calculated on the last Form 312N filed prior to the date of sale. The recalculation only applies to agreements entered into after December 31, 2016.
Recalculation of base-year employees does not apply if the business operations that were sold cease operations within twenty-four months of the sale or transfer or if the primary business purpose of the sale was to close a location.
