    James Moloney will serve as Director of the Division of Corporation Finance starting next month.

    The SEC announced a new Director of its Division of Corporation Finance. James Moloney rejoins the agency from Gibson Dunn & Cutcher, where he has worked the past 25 years. From 1994 to 2000, Moloney was an attorney-advisor and special counsel in CorpFin’s Office of Mergers & acquisitions. SEC Chairman Paul Atkins said he is eager to work with Moloney “to modernize and improve our existing rules and alleviate disclosure burdens.”

    Acting Director Cicely LaMothe will return to her role as a Deputy Director of the Division.

    During his tenure at the SEC in the 1990s, Moloney was the primary author of the proposing and adopting releases for Regulation M-A, governing mergers & acquisitions, tender offers and proxy solicitations. As Director of CorpFin, he will be responsible for recommendations on many of the items on the SEC’s latest agenda, which emphasizes facilitating crypto transactions and reducing disclosure obligations.

    To that end, Atkins noted that Moloney has had “an eye toward supporting innovation and facilitating capital formation.” Moloney expressed gratitude at the opportunity “to implement a clear regulatory framework for companies to disclose valuable information to investors.”
