Securities Regulation Daily Wrap Up, REGULATION TRACKER—Upcoming SEC and CFTC comment deadlines and effective dates, (Dec 15, 2025)

A table of proposed rule comment dates and final rule effective and compliance dates for SEC and CFTC rulemaking.

Recent SEC activity includes the following:

Technical amendments. The SEC adopted technical amendments to six Exchange Act forms to correct the address for the principal office of the Commission. The changes affect Forms 1, 1-N, R31, ATS, ATS-R, and PILOT. In each instance, the forms are amended to remove the text “450 Fifth Street, N.W., Washington D.C. 20549-1002” and add, in its place, the text “100 F Street, NE, Washington, DC 20549”.

Form SHO reporting. The SEC issued an order further extending the compliance date for rules to increase transparency in the securities lending and short sale markets. The SEC extended the compliance date for Exchange Act Rule 13f-2 and Form SHO to January 2, 2028. The SEC is also extending the time for compliance with Rule 10c-1a respecting the reporting date until September 28, 2028, and with respect to the dissemination date until March 29, 2029. The SEC had previously granted temporary exemptions with respect to these requirements, and on August 25, the Fifth Circuit remanded the rules without vacatur, directing the agency to consider their collective economic effects. The Commission explained that the extensions will give it time to respond to the court’s opinion and possibly amend the rules, while minimizing potential costs that entities could incur to comply with rules that may change.

Regulation NMS. The SEC granted temporary exemptive relief from certain compliance dates under Regulation NMS to provide clarity to the market and facilitate orderly market functions. The adopting release related to minimum pricing increments and access cap fees under Regulation NMS. The compliance dates for Rules 600(b)(89)(i)(F), 610(c) and 612 have been extended to the first business day of November 2026 and that of Rule 610(d) until the first business day of February 2026. The relief follows the denial of a petition for review by the U.S. Court of Appeals for the District of Columbia Circuit.

CFTC

Recent CFTC activity includes the following:

The CFTC amended its Rules of Practice (Part 10) and Rules Relating to Investigations (Part 11). Amendments include revisions to settlement procedures and the Wells process, as well as the definition of adjudicatory proceedings, among others.
