The American Bar Association’s (ABA’s) Forum on Franchising and Center for Professional Development are sponsoring a webinar entitled, “Negotiating Challenging Provisions in Franchise Agreements” from 1:00 to 2:30 p.m., Eastern Standard Time, on February 2.

The webinar, selected as best of the 2015 Forum on Franchising programs, will address drafting and negotiating key provisions in franchise agreements and development agreements from the perspective of franchisors and franchisees. Presenters will address common approaches to: (1) handling the negotiation process, taking into consideration the relative leverage of the parties; (2) typical modification requests or “asks” and responses; and (3) drafting to balance franchisor and franchisee positions.

The webinar will also consider how negotiated changes affect franchise disclosure document (FDD) disclosure and registration; as well as consider approaches for drafting challenging provisions such as transfers to trusts/trust ownership, marital or business divorces, guarantee limitations, and non-compete provisions.

Panelists for the webinar are: Elizabeth S. Dillon (Gray Plant Moody); Leonard D. Vines (Greensfelder, Hemker & Gale); and Susan E. Tegt (corporate counsel for Self Esteem Brands, LLC).

Further information and online registration are available on the ABA website.
