The Department of Justice and the FTC cleared Microsoft Corporation’s $7.3 billion acquisition of Nokia Corporation’s devices and services business last Friday, according to a notice released yesterday. The agencies granted early termination of the report-and-wait period for the proposed transaction required under the Hart-Scott-Rodino Antitrust Improvements Act.

Microsoft announced on September 3 that the Boards of Directors of Microsoft and Nokia had agreed to a transaction in which Microsoft would purchase substantially all of Nokia’s devices and services business, license Nokia’s patents, and license and use Nokia’s mapping services. On November 19, an extraordinary meeting of Nokia shareholders approved the sale. The European Commission’s current deadline for granting or denying its approval to the transaction is December 4. The companies said last month that they expect to complete their transaction in the first quarter of 2014.
