After a public comment period, the FTC has approved a final order settling charges that a proposed pharmaceutical company acquisition would likely be anticompetitive, the FTC has announced (In the Matter of Lupin Ltd., Gavis Pharmaceuticals LLC and Novel Laboratories, Inc., FTC File No. 151-0202, Dkt. C-4566).

In February 2016, after Lupin Ltd. proposed an $850 million acquisition of Gavis Pharmaceuticals, Inc., the FTC brought an action charging that the combination could adversely affect competition in the markets for generic doxycycline monohydrate capsules—antibiotics used for treating a bacterial infections—and generic mesalamine extended release capsules, used to treat ulcerative colitis. Under the consent order, Lupin and Gavis would divest the two dosage strengths of the former, as well as the latter, to New Jersey-based generic pharmaceutical company G&W Laboratories in order for the FTC to allow the acquisition to proceed.
